Case Summary

Our legal team successfully secured a favourable judgment for our client, the defendant, in a commercial dispute in which the claimant sought the termination of a supply agreement and an order compelling our client to pay the value of supplied equipment, together with amounts allegedly representing the contractual minimum consumption.

Our defence was centred on establishing that our client had committed no breach of its contractual obligations and that the contractual relationship between the parties had never been terminated. Instead, the agreement remained in force and was automatically renewed pursuant to its express renewal provisions. Consequently, the claimant had no legal basis to seek rescission of the agreement or recover any amounts allegedly arising from a termination that had never occurred as a matter of law.

Our Legal Strategy

Our defence relied upon the express automatic renewal clause contained in the agreement, pursuant to which the contractual relationship would continue for a further term unless either party served written notice of termination within the period prescribed by the contract.

Before both the Court and the court-appointed expert, we demonstrated that the claimant had failed to produce any evidence establishing that it had issued a valid notice of termination in accordance with the contractual procedure. On the contrary, the evidence showed that the claimant continued performing the agreement well beyond the expiry of its initial term by supplying products and issuing invoices until 2026, thereby unequivocally acknowledging the continuation of the contractual relationship and the renewal of the agreement together with all of its legal consequences.

We further submitted that, having elected to continue performing the agreement and accepted the extension of the contractual relationship, the claimant was precluded from subsequently alleging that the agreement had terminated or seeking financial remedies premised upon such alleged termination. Its conduct throughout the parties' commercial dealings clearly demonstrated that the agreement remained valid, binding, and fully operative.

We also argued that the claimant's demand for payment of the equipment value and the contractual minimum consumption lacked any legal foundation. The reciprocal obligations of the parties continued to be governed by an existing and enforceable agreement, and any obligation to return the equipment or compensate for its value could only arise upon the lawful expiry or termination of the agreement in accordance with its terms—circumstances that were not established in the present case.

Legal Principle Affirmed by the Court

The Court reaffirmed the well-established principle that a contract constitutes the law of the parties. Once a contract has been validly concluded and becomes binding upon its parties, neither party may unilaterally terminate it or alter its legal effects except in accordance with the parties' agreement or the applicable law.

The Court further held that the continued performance of contractual obligations following the expiry of the original contractual term, coupled with the absence of a termination notice served in accordance with the agreed contractual mechanism, constitutes compelling evidence that the contractual relationship remained in force and that the agreement was automatically renewed. The determination of these matters falls within the trial court's authority to assess the facts, evaluate the documentary evidence, and consider the parties' conduct throughout the performance of the agreement.

Adopting our submissions, the Court concluded that the parties' continued commercial dealings after the expiry of the original contractual term, together with the absence of any valid termination notice, resulted in the automatic renewal of the agreement. Accordingly, the claimant lacked any legal basis to seek rescission of the agreement, recover the value of the equipment, or claim any amounts relating to the alleged contractual minimum consumption.

By establishing that the contractual prerequisites for termination had never been satisfied, that our client had committed no contractual breach, and that the supplier's claims were fundamentally inconsistent with both the contractual framework and the parties' actual course of dealing, our legal team successfully protected our client's legal position. The Court ultimately dismissed the claim in its entirety and ordered the claimant to bear the costs of the proceedings.
